Terms and Conditions of use for the EVOcard

Effective Date: 1St June 2026

1. Acceptance of Terms and Conditions

1.1 The following General Terms and Conditions (hereinafter “Terms”) shall apply to the agreement with which the customers(“you” or “your”) purchases and uses an EVOcard (hereinafter “EVOcard” or “Card”) issued by Eurofins Genomics Germany GmbH or its affiliates (“Affiliate”) (hereinafter “Eurofins Genomics”).

1.2 These Terms apply exclusively to the agreement regarding the purchase and use of an EVOcard. Your general terms and conditions are hereby rejected. They shall only apply if and to the extent that Eurofins Genomics has expressly agreed to their validity in writing; text form (Section 126 b of the German Civil Code (“BGB”)) is excluded. Eurofins Genomics' objection to your general terms and conditions also applies in particular if Eurofins Genomics provides a service without reservation in the knowledge of your deviating or supplementary general terms and conditions, as well as if your general terms and conditions contain provisions that go beyond the provisions of these Terms.

1.3 The provisions set out in section 1.2, section 1.4, section 4.4, section 4.5, section 6.3, section 6.4, section 8.1, section 8.2,section 9.2 and section 9.3 shall not apply if you are a consumer within the meaning of Section 13 BGB. Consumer is any natural person who concludes a legal transaction for a purpose which can neither be attributed to its commercial nor its independent professional activity.

1.4 Future amendments to these Terms shall be offered to you in text form (Section 126b BGB) no later than six (6) weeks before the proposed date of their entry into force.

You must expressly agree to any changes that affect material elements of the contract, i.e. elements that regulate the identity of the parties and the services provided by Eurofins Genomics, after receipt of the offer pursuant to section 1.4 sentence 1, so that these are effectively agreed as of the proposed date. If you do not agree, the previous Terms shall continue to apply without the amendments offered by Eurofins Genomics. Eurofins Genomics will expressly inform you of the aforementioned in its offer pursuant to section 1.4 sentence 1.

You must object in text form (Section 126b BGB) within six (6) weeks of receipt of the offer pursuant to section 1.4 sentence 1 to any changes that do not affect material parts of the contract. If you fail to do so, its silence shall be deemed as consent to the changes offered by Eurofins Genomics and the changes offered shall be agreed with effect from the proposed date. If you declare your objection in text form (Section 126b BGB) within the aforementioned declaration period, the previous Terms shall continue to apply without the amendments offered by Eurofins Genomics. Eurofins Genomics will expressly inform you of the aforementioned declaration period and the consequences of its silence and its objection with the offer pursuant to section 1.4 sentence 1. The aforementioned declaration period for you shall only begin to run if Eurofins Genomics provides the information pursuant to section 1.4 sentence 7 to you in its offer pursuant to section 1.4 sentence 1.

1.5 These Terms exist in a German and an English version. In the event of inconsistencies between the German and English versions, the German version shall prevail.

2. Purpose of the EVOcard, Associated Balance

2.1 With the EVOcard, you can pay for services and goods of Eurofins Genomics cashlessly when concluding a contract for services or goods of Eurofins Genomics. The Associated Balance is the total amount of remaining funds you have in your EVOcard.

2.2 Once you link an EVOcard to your account, you can add funds through the online portal to create an Associated Balance.

2.3 When you conclude a contract with Eurofins Genomics and use your EVOcard as the payment method, the corresponding price for this purchase will be deducted from the amount available in your EVOcard. Any unused amount will remain in your EVOcard. If a contract exceeds the amount available in your Associated Balance, another payment method on file or credit card you enter will be charged for the amount exceeding your Associated Balance. If no alternative payment method is available, the contract will not be concluded.

2.4 Eurofins Genomics does not issue a physical EVOcard, but only a virtual EVOcard in digital form. This virtual EVOcard represents your Associated Balance in digital form and can be used at the online shop of Eurofins Genomics, where applicable.

3. Restrictions on the use of the EVOcard

3.1 The EVOcard is intended to be used solely as a payment method when concluding a contract for services or goods from Eurofins Genomics for which Eurofins Genomics has enabled payment with the EVOcard.

3.2 Once you link an EVOcard to your account, you will no longer be able to use balance on the EVOcard outside the linked account.

3.3 An EVOcard cannot be used as a payment method for contracts for services or goods that violate any applicable laws or engage in activities that are fraudulent, misleading or unlawful. If Eurofins Genomics becomes aware that an EVOcard is being used for any of these restricted activities, immediate action will be taken against the user of that EVOcard and the EVOcard will be cancelled. The provisions in sections 4.2 to 4.5 shall apply.

4. Additional Restrictions on the use of the EVOcard, consequences of prohibited use of an EVOcard

4.1 Eurofins Genomics maintains information about the status of an EVOcard. Should you require any information regarding your EVOcard, the status of your account and/or any Associated Balance, you should contact Eurofins Genomics.

4.2 You are not allowed to use an EVOcard in any manner that is unlawful, fraudulent, misleading, deceptive, unfair, or otherwise harmful to Eurofins Genomics or its customers or in violation to these Terms.

4.3 Where Eurofins Genomics reasonably suspects the use of an EVOcard prohibited in section 4.2 is taking place, Eurofins Genomics may temporarily block your EVOcard and/or account and request clarification from you. If the suspicion is confirmed, Eurofins Genomics may cancel your EVOcard and/or your account. We will inform you of any blocking or cancellation of your EVOcard and/or account and your right to object without undue delay. In case of unjustified blocking or cancellation of your EVOcard and/or account, we will promptly unblock your EVOcard and/or account respectively restore your EVOcard and Associated Balance and/or account.

4.4 In addition to the rights set out in section 4.3, if Eurofins Genomics reasonably suspects or determines that a use prohibited under section 4.2 is occurring / has occurred, Eurofins Genomics reserves the right to require a payment method other than the EVOcard when concluding contracts with you, to no longer conclude contracts with you, and to require a payment method other than the EVOcard for contracts already concluded with you.

4.5 In the event of a culpable breach of your above obligation under section 4.2, you shall be liable for all costs and damages causally incurred by Eurofins Genomics or its executive bodies, employees and vicarious agents as a result. This liability also includes a corresponding obligation to indemnify and hold harmless Eurofins Genomics or its executive bodies, employees and vicarious agents in the event that claims are asserted against Eurofins Genomics or its executive bodies, employees and vicarious agents by third parties due to your culpable breach of the above obligation under section 4.2.

5. Reload Functionality

5.1 You may choose to activate the option to add funds automatically to your Associated Balance (hereinafter "Reload"). You can activate this feature via your account via the link https://eurofinsgenomics.eu/en/ecom/my-account/my-evocards/ In case of any issues, you can contact Eurofins Genomics via https://eurofinsgenomics.eu/en/eurofins-genomics/contact-us/.

5.2 Once enabled, Reload continues until manually cancelled via your account.

5.3 The payment method used for the Reload is the default payment method you have linked to your account. If your default payment method is updated, the updated payment method will be charged for a Reload as of the update.

5.4 If we cannot charge your default payment method for any reason, we will charge another payment method on file. We will notify you without undue delay that your default payment method is not working and that we intend to charge an alternative payment method that is on file. You have five (5) days after receiving that information to object to the charge being made to another payment method. If no other payment method is on file, it may result in the amount you set to add to your Associated Balance with a Reload is not funded to your Associated Balance. It would also mean that the Reload may be paused or may fail. Multiple payment methods are available.

5.5 We reserve the right, in our reasonable discretion, to pause or disable the Reload functionality. This may occur if there is fraud, misconduct, illegal behavior or inactivity in your account, maintenance of the IT infrastructure, a change in law, a need for verifying information, a problem with the payment method on file (such as expiration or insufficient funds), or if the functionality is no longer offered by Eurofins Genomics, your Associated Balance reaches a limit set by law or regulation, or for other comparable reasons.

We will inform you of the pause or disabling of the Reload functionality within thirty (30) day’s notice. In case of suspected or confirm fraud, misconduct, illegal behaviour or a illegal obligation, we may disable or pause the reload functionality immediately without prior notice and will inform you without delay after the pause disabling.

6. Duties of care with regard to the safekeeping of the EVOcard and account details

6.1 You are responsible for keeping your EVOcard and any associated passwords or account details secure and may not share them with a third party. You must notify us without undue delay after becoming aware of any loss, theft, fraud or unauthorized use of your EVOcard and/or account and follow the instruction given by Eurofins Genomics. Once Eurofins Genomics has been notified of a loss, theft, fraud or unauthorized use of an EVOcard, Eurofins Genomics will immediately block that EVOcard.

6.2 Eurofins Genomics is not liable for any loss, damages or unauthorized use of your EVOcard if and insofar as such loss, damages or unauthorized use is due to your culpable breach of the obligations set out in section 6.1 sentence 1 and 2. This limitation of liability shall not apply if one of the circumstances specified in section 7.2 applies.

6.3 If your account and/or EVOcard is used without authorization, you shall be responsible for any unauthorized transactions and be responsible for all payment obligations arising from it if you fail to report such unauthorized use in accordance with section 6.1 sentence 2.

6.4 In the event of a culpable breach of your above obligations under section 6.1 sentence 1 and 2, you shall be liable for all costs and damages causally incurred by Eurofins Genomics or its executive bodies, employees and vicarious agents as a result. This liability also includes a corresponding obligation to indemnify and hold harmless Eurofins Genomics or its executive bodies, employees and vicarious agents in the event that claims are asserted against Eurofins Genomics or its executive bodies, employees and vicarious agents by third parties due to your culpable breach of the above obligations under section 6.1 sentence 1 and 2.

7. Limitation of Liability and Disclaimer regarding the Associated Balance

7.1 The contractual and/or statutory liability of Eurofins Genomics under these Terms is generally excluded, unless otherwise agreed below.

7.2 The exclusion of liability of Eurofins Genomics pursuant to section 7.1 shall not apply:

• to damages caused by Eurofins Genomics intentionally or through gross negligence;
• if and to the extent that Eurofins Genomics is liable under the mandatory provisions of the German Product Liability Act;
• if and to the extent that Eurofins Genomics has given a guarantee of quality or durability and damages have arisen from the breach of the guarantee;
• in the event of delay in the event that a fixed delivery date has been agreed;
• in cases of culpable injury to life, body and health.

7.3 In cases of slight and ordinary negligence on the part of Eurofins Genomics, Eurofins Genomics shall only be liable - unless it is already liable for damages pursuant to section 7.2 - for the breach of material contractual obligations. Material contractual obligations are all obligations whose fulfillment is essential for the proper performance of the contract and on whose fulfillment the Customer regularly relies and may rely. Eurofins Genomics' liability shall then be limited to the damage typical for the contract and foreseeable for Eurofins Genomics at the time of conclusion of the contract.

7.4 The above exclusions and limitations of liability shall also apply to Eurofins Genomics' liability for its executive bodies, employees and vicarious agents as well as the personal liability of Eurofins Genomics' executive bodies, employees and vicarious agents.

7.5 The EVOcard is not a bank account, payment account or e-money product. The funds loaded to your EVOcard are held only temporarily to process your order and are not covered by any deposit guarantee or investor compensation scheme.

8. Validity of Associated Balance on EVOcards; cancellation of inactive EVOcards

8.1 During the term of an EVOcard, any unused Associated Balance on an EVOcard is not transferable, cannot be shared or gifted and will not be refunded by Eurofins Genomics. EVOcards are not redeemable for cash and cannot be returned for a cash refund.

8.2 If any amount of Associated Balance on an EVOcard has not been spent within three (3) years as from the date that amount was added to the Associated Balance, then such amount will be considered expired. You will not be able to use it and the amount will not be reimbursed.

8.3EVOcards that have been inactive for three (3) years may be cancelled by Eurofins Genomics after this period.

9. EVOcard Termination

9.1 The parties may terminate the agreement regarding the use of the EVOcard with (two) 2 months’ written notice to the other party. You should use all outstanding Associated Balance prior to the termination of the EVOcard taking effect.

9.2 Upon termination taking effect, any outstanding or remaining Associated Balance will be cancelled and will not be reimbursed.

9.3 The parties may terminate the agreement for good cause without observing a notice period. With regards to any outstanding or remaining Associated Balance, section 9.2 applies.

Good cause entitling Eurofins Genomics to terminate the contract exists in particular if you persistently and /or materially fail to fulfill or otherwise culpably breach your contractual obligations, in particular section 4.2 and 6.1.

10. Disputes and Governing Law

These Terms and the agreement regarding the use of the EVOcard shall be governed by the laws of Germany. The exclusive place of jurisdiction shall be the registered office of Eurofins Genomics, to the extent that you are a merchant, a legal person in accordance with public law or special fund constituted in accordance with public law or you have no general place of jurisdiction in Germany. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to the agreement regarding the use of the EVOcard.

11. Privacy and Data Protection

Eurofins Genomics respects your privacy and processes personal data in accordance with its privacy policy, which can be found on our website or requested from Eurofins Genomics directly.

12. Written form

Side agreements, amendments and additions to the agreement regarding the use of the EVOcard must be made in writing (Section 126 BGB). This also applies to the above written form requirement itself. Section 305b BGB remains unaffected.

13. Severability

If individual provisions of these Terms or the agreement regarding the use of the EVOcard are or become unlawful, invalid or unenforceable, this shall not affect the validity of the remaining provisions. This provision does not merely reverse the burden of proof, but excludes the application of Section 139 BGB. In place of the unlawful, invalid or unenforceable provision, a lawful, valid and enforceable provision shall be deemed to have been agreed which comes closest to the interests of the parties and the purpose of these Terms respectively the agreement regarding the use of the EVOcard. The same shall apply in the event of a contractual loophole.

Terms and Conditions for EVOcards

Effective Date: 1st June 2026

1. Acceptance of Terms and Conditions

1.1 These Terms and Conditions (“Terms”) apply to any purchaser or user (“you,” “your”) of an EVOcard (referred to as “EVOcard” or “Card”).

1.2 By purchasing or using an EVOcard, you agree to these Terms and any subsequent updates.

1.3 Please review these Terms regularly, as we may update them from time to time. We will provide you with notice of the updated Terms by posting the updated Terms on this page, and the Terms will be effective upon posting.

1.4 EVOcards are managed by the issuing Eurofins Genomics legal entity or any of its affiliates (i.e. any entity that directly or indirectly controls, is controlled by, or is under direct or indirect common control with such Eurofins Genomics legal entity, hereafter an “Affiliate”) (“Eurofins Genomics”).

1.5 Your continued use of the EVOcard constitutes acceptance of these Terms and Conditions.

2. Associated Balance and Virtual Card

2.1 EVOcards can be used for various purchases and services, and their functionality is tied to an ‘Associated Balance’ linked to your Account and or other applicable platforms.

2.2 Once you link an EVOcard to your account, you can add funds through the online portal, to create an Associated Balance. The amount available in your Associated Balance includes the total balance of all funds that you have added to your account and is available to use for various services and purchases.

2.3 When you link an EVOcard to your Associated Account, we will issue a ‘Virtual Card’. This card represents your Account Associated Balance in digital form. This Virtual Card can be used at Eurofins Genomics online, where applicable.

2.4 The Virtual Card and Associated Balance are subject to the terms and conditions set by Eurofins Genomics, which may change over time.

2.5 The Virtual Card and codes, Associated Balances, are collectively, “ EVOcards”.

3. Restrictions on the use of EVOcards

3.1 EVOcards are intended to be used solely for the purchase of services from Eurofins Genomics and other approved products. Some items or services may not be available to purchase with EVOcards.

3.2 Once you link an EVOcard to your Account, the balance on the EVOcard becomes part of your Associated Balance, and you will no longer be able to use the virtual card or code outside the linked account.

3.3 EVOcards cannot be used for purchases that violate any applicable laws or engage in activities that are fraudulent, misleading or unlawful. If Eurofins Genomics become aware that an EVOcard is being used for any of these restricted activities, immediate action will be taken against the individual and the EVOcard will be cancelled.

4. Reload Functionality

4.1 You may choose to have the option to add funds to your Associated Balance ("Reload").

4.2 Cancellation of Reload: Once enabled, Reload continues until manually cancelled.

4.4 Payment Method: The payment method charged is the default payment method you have linked to your account. If your default payment method is updated, the updated payment method will be charged. If we cannot charge your payment method for any reason, another payment method on file may be charged, or if that is not available, it may result in your Associated Balance not being funded. It would also mean that Reload may be paused or may fail. Multiple payment methods are available. You can make use of your credit card or raise a Purchase Order via invoice to pay for items that exceed your EVOcard balance.

4.5 Suspension or Termination of Reload: We reserve the right, in our sole discretion, to pause or disable the Reload functionality. This may occur if there is fraud, misconduct, illegal behavior , inactivity, maintenance, a change in law, a need for verifying information, a problem with the payment method on file (such as expiration or insufficient funds), or if the functionality is no longer offered, your Associated Balance reaches a limit set by law or regulation, or for other reasons .

5. Additional Restrictions

5.1 EVOcards are not redeemable for cash and cannot be returned for a cash refund (except as required by law); exchanged, or resold. Please note that any unused Associated Balances are not transferable and cannot be shared, gifted or exchanged.

5.2 The Issuer maintains information about the status of EVOcards. Should you require any information regarding the status of your account and any Associated Balance, you should contact the Issuer.

5.3 You agree not to use EVOcards in any manner that is unlawful, misleading, deceptive, unfair, or otherwise harmful to the Issuer, Eurofins Genomics, or its customers. We reserve the right , without notice to you, to void or deactivate EVOcards without a refund, suspend or terminate Accounts, request alternative forms of payment, suspend or terminate the ability to purchase Products, cancel or limit orders, bill alternative forms of payment and take any other remedial actions as necessary if we suspect EVOcards were obtained, used, or associated with an account that was operating unlawfully, fraudulently, or otherwise in violation of these Terms.

5.4 You must spend any Associated Balance in order to close your Account.

6. Purchases

6.1 EVOcards can also be used to purchase Products and Services from Eurofins Genomics, subject to the availability of funds in your Associated Balance. When you make a purchase this way, the funds will be deducted from the amount available in your Associated Balance. Any unused amount will remain in your Associated Balance. If a purchase exceeds the amount available in your Associated Balance, another payment method on file or credit card you enter may be charged. If no alternative payment method is available, the transaction will be cancelled.

7. Risk of Loss

7.1 Neither the Issuer nor Eurofins Genomics is responsible for any loss, theft or damage resulting from any unauthorised use of EVOcards. You are responsible for keeping the EVOcard and any associated passwords or account details secure. The Issuer is not liable for any loss or unauthorised use of the Card resulting from your negligence or failure to safeguard the Card.

7.2 If your Account is breached, you may be responsible for any unauthorised transactions if you fail to report such incidents in a timely manner.

8. Limitation of Liability and Disclaimer

8.1 The Issuer, Eurofins Genomics, and their licensees, affiliates, and licensors make no warranties, express or implied, with respect to EVOcards, including, without limitation, any express or implied warranty of functionality, merchantability or fitness for a particular purpose.

8.2 Neither the Issuer nor Eurofins Genomics shall be liable for any indirect, consequential or punitive damages.

8.3 Except as expressly stated in these Terms and Conditions, we do not accept any liability for losses, damages or claims arising from or in connection with the provision of EVOcard. Our total liability for the EVOcards will be capped at Euros 200 in any event. We shall not be liable for any acts, omissions, or failures of third-party service providers accessed via the EVOcard. You must promptly report any fraud or misuse of the virtual card and comply with the Eurofins Genomics instructions. In case German law is applicable in accordance with clause 12 of this T&C’s, For customers from Germany, Statutory liability, including under the German Product Liability Act and §§ 675 et seq. BGB, remains unaffected.

8.4 The Funds held on the EVOcard are not protected under any financial services compensation scheme as we are not providing this service as a financial institution. Such funds are held temporarily prior to the placement of an order, and they are not deemed to be client monies. We do not accept or assume any liability in relation to these funds.

9. Indemnity and Waiver

9.1 By purchasing and using an EVOcard , you agree, to the extent permitted by law, to indemnify and hold harmless Eurofins Genomics, and their directors, officers, employees, affiliates, agents, contractors, and licensors, with respect to any claims , damages or losses, arising out of your breach of these terms, your unlawful use of an EVO card or any action taken by the Issuer or Eurofins Genomics as part of its investigation of a suspected violation of these terms or as a result of its finding or decision that a violation of these terms occurred.

9.2 You agree that you shall not sue or recover any damages from the Issuer, Eurofins Genomics, and either of their directors, officers, employees, affiliates, agents, contractors, and licensors as a result of its decision to remove or refuse to process any information or content, warn or not warn you, suspend or terminate your access to EVOcards or your account, or take any other action during the investigation of a suspected violation or as a result of the Issuer’s or Eurofins Genomics’ conclusion that a violation of these terms has occurred.

9.3 This waiver and indemnity provision applies to all violations described in or contemplated by these terms.

10. Validity of EVOCard balance

During the term of an EVOcard, any unused Associated Balance on an EVOcard is not transferable, cannot be shared or gifted and will not be refunded by Eurofins Genomics. EVOcards are not redeemable for cash and cannot be returned for a cash refund.

If any amount of Associated Balance on an EVOcard has not been spent within three (3) years as from the date that amount was added to the Associated Balance, then such amount will be considered expired. You will not be able to use it and the amount will not be reimbursed.

EVOcards that have been inactive for three (3) years may be cancelled by Eurofins Genomics after this period.

11. EVOCard Termiation

Should you wish to stop using the EVOcard and terminate this agreement, you can do so at any time by providing the Issuer with 2 months’ written notice. You must ensure that all debts are paid off and the outstanding or remaining balance is used prior to terminating this agreement.

The Issuer will check the same, and should it be discovered that you have not discharged any debts at the time of notifying termination, further charges will be applied to your account. Upon termination, any outstanding or remaining balance will be cancelled and will not be reimbursed.

12. Disputes and Governing Law

In the absence of an amicable resolution, any dispute relating to the Contract shall be submitted to a court of competent jurisdiction in the place where the Services are performed. The law of the jurisdiction in which the Services are performed shall be applicable. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to the Contract.

13. Privacy and Data Protection

Eurofins respects your privacy and handles personal data in accordance with its privacy policy, which can be found on our website or requested from us directly.

14. Entire Agreement

14.1 This agreement is the sole agreement between Eurofins and the Purchaser with respect to the purchase and issuance of EVOcards, and it supersedes all prior agreements and understandings with respect thereto, whether written or oral.

14.2 No modification to any provision of this agreement shall be binding unless in writing and signed by the Issuer.

15. Severability

If any provision of this agreement is deemed to be invalid or unenforceable by a Court of competent jurisdiction or in arbitration, the same shall be deemed severable from the remainder of this agreement and shall not cause the invalidity or unenforceability of the remainder of the agreement.

By using your EVOcard or related services, you acknowledge that you have read, understood and agree to these Terms and Conditions.
